## What Is the C-Suite?

The C-suite is the highest tier of executive leadership in a corporation, comprising officers whose titles begin with "Chief" — Chief Executive Officer, Chief Financial Officer, Chief Operating Officer, and so on. These executives set strategy, allocate capital, and answer directly to the board of directors. They are the people legally and practically accountable for the company's performance.

The term emerged in American business writing during the 1960s and 70s as the number of "Chief X Officer" titles multiplied beyond the original CEO and CFO. By the 1990s "C-suite" had become standard shorthand in management literature, executive search, and financial journalism. The "C" simply stands for Chief; "suite" evokes the executive floor where these offices once physically clustered.

Membership is not codified by law. ## The Core C-Suite Roles

Most large companies have five to seven foundational Chief-level roles: CEO, CFO, COO, CTO or CIO, CMO, CHRO, and General Counsel. ### CEO — Chief Executive Officer

The CEO is the ultimate strategic leader. They set vision, approve major capital decisions, hire and fire other Chiefs, and serve as the public face of the company. Critically, the CEO is the only executive who reports to the board of directors rather than to another executive — though the board can also remove them. Median CEO tenure at S&P 500 firms hovers around five years.

### CFO — Chief Financial Officer

The CFO owns financial planning, accounting, treasury, investor relations, tax, and capital allocation. Under Sarbanes-Oxley §302 and §906, the CFO personally certifies the accuracy of public-company financial statements alongside the CEO — a signature with criminal [liability](/blog/examples-liabilities) attached. CFOs increasingly act as strategic partners on M&A and capital structure, not just scorekeepers.

### COO — Chief Operating Officer

The COO runs day-to-day execution: supply chain, manufacturing, service delivery, and cross-functional coordination. They are often the de facto #2 and a common stepping stone to CEO. Some companies — Apple under Steve Jobs after Tim Cook's promotion, briefly — operate without a COO, distributing the role across the leadership team.

### CTO and CIO

The Chief Technology Officer typically owns external-facing tech: product architecture, engineering, R&D. ### CMO, CHRO, and General Counsel
