# EXW (Ex Works): What It Means and How It Compares to Other Incoterms

EXW, short for **Ex Works**, is an Incoterm (International Commercial Term) that places the maximum responsibility on the buyer — the seller's only obligation is to make the goods available at their own premises (factory, warehouse, or another named place), and the buyer assumes all costs and risks of transport from that point forward. Under EXW, the seller does not need to load the goods onto the buyer's vehicle, clear customs for export, or arrange any freight. This makes EXW the simplest possible term for the seller — and the most demanding for the buyer. - **The buyer bears all costs**: loading at origin, export clearance, inland freight, port charges, ocean or air freight, insurance, import duties, and last-mile delivery
- **The buyer bears all risk**: risk of loss transfers at the seller's premises, before the goods are even loaded

This is the opposite of **DDP (Delivered Duty Paid)**, where the seller handles everything door-to-door including import duties.

**Seller's obligations under EXW**:
- Make goods available at the agreed place and time
- Provide the commercial invoice and any export documentation the buyer requests
- Assist the buyer with export licences (at the buyer's cost and risk)

**Buyer's obligations under EXW**:
- Load goods onto the vehicle
- Arrange and pay for export customs clearance
- Arrange and pay for all transport (inland, ocean, air)
- Arrange cargo insurance
- Clear import customs and pay duties at destination

**EXW vs. FCA**: The key difference is export clearance. Under FCA (Free Carrier), the seller handles export customs clearance; under EXW, the buyer must. In practice, EXW often creates problems in international trade because the seller — as the local entity — is far better positioned to handle export customs documentation. For this reason, **the ICC (International Chamber of Commerce) recommends FCA over EXW for international transactions** where export clearing is required.

## When EXW Is and Isn't Appropriate

**EXW works well for**:
- **Domestic trade**: When goods stay within one country, there's no export clearance issue
- **Buyers with strong logistics capabilities**: Large importers with freight forwarders who can handle the origin country's export requirements
- **Manufacturing contracts**: Where a buyer wants full control over freight and insurance costs

**EXW causes problems when**:
- The buyer is not present in the seller's country to handle export customs — agents must be engaged, adding complexity and cost
- The seller's country has strict export licensing requirements (electronics, defence equipment, dual-use goods)

Comparing EXW quotes across suppliers requires careful landed-cost calculation — a lower EXW price from a remote supplier may be more expensive total than a higher EXW price from a nearby supplier.

## EXW and Export VAT

A common pitfall in EXW transactions: the seller may be unable to zero-rate VAT (or reclaim input VAT) on an EXW export because the seller has no responsibility for, or proof of, the export. The buyer takes possession domestically, and without export documentation in the seller's name, tax authorities may assess VAT on the transaction. In EU trade, this creates real VAT compliance issues — another reason FCA is often preferable for cross-border EU transactions.
