---
Market Value Added (MVA) is the difference between a company's total market value and the total capital investors have contributed to it. It measures how much wealth a company has created — or destroyed — for its shareholders above and beyond what they originally invested. MVA is the cumulative, market-based test of whether management has deployed capital effectively: a positive MVA means the company is worth more than what went into it; a negative MVA means it has consumed more capital than it has generated in value.

## MVA Formula

**MVA = Market Value of the Company − Invested Capital**

Or equivalently:

**MVA = (Market [Capitalisation](/blog/capitalisation-meaning) + Market Value of Debt) − Total Capital Employed**

Where:
- **Market capitalisation** = share price × [shares outstanding](/blog/outstanding-stocks-definition)
- **Market value of debt** = current market value of all bonds and loans (often approximated by book value for investment-grade issuers)
- **Total capital employed** = total equity invested + total debt (at book value from the balance sheet)

**Simplified version** (equity only):

**MVA (equity) = Market Capitalisation − Book Value of Equity**

This equity-only version is the more commonly used approximation and equals **Price-to-Book ratio minus 1**, multiplied by book equity.

## MVA Example

**Company A (value creator)**:
- Market capitalisation: $8 billion
- Book value of equity: $4 billion
- Long-term debt (book): $2 billion
- Market value of debt: $1.9 billion

![Company A created $3.9B in value above invested capital; Company B destroyed $1.3B relative to book equity.](data:image/svg+xml,%3Csvg%20xmlns%3D%22http%3A%2F%2Fwww.w3.org%2F2000%2Fsvg%22%20viewBox%3D%220%200%20800%20210%22%20width%3D%22800%22%20height%3D%22210%22%20role%3D%22img%22%3E%3Ctitle%3EComparison%3C%2Ftitle%3E%3Crect%20width%3D%22100%25%22%20height%3D%22100%25%22%20fill%3D%22%23f8fafc%22%2F%3E%3Ctext%20x%3D%22230%22%20y%3D%2257.5%22%20text-anchor%3D%22end%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3ECompany%20A%20MVA%3C%2Ftext%3E%3Crect%20x%3D%22240%22%20y%3D%2225%22%20width%3D%22450%22%20height%3D%2255%22%20rx%3D%226%22%20fill%3D%22%232563eb%22%2F%3E%3Ctext%20x%3D%22702%22%20y%3D%2257.5%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22700%22%20fill%3D%22%232563eb%22%3E%24B3.9%3C%2Ftext%3E%3Ctext%20x%3D%22230%22%20y%3D%22152.5%22%20text-anchor%3D%22end%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3ECompany%20B%20MVA%3C%2Ftext%3E%3Crect%20x%3D%22240%22%20y%3D%22120%22%20width%3D%22150.00000000000003%22%20height%3D%2255%22%20rx%3D%226%22%20fill%3D%22%237c3aed%22%2F%3E%3Ctext%20x%3D%22402%22%20y%3D%22152.5%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22700%22%20fill%3D%22%237c3aed%22%3E%24B-1.3%3C%2Ftext%3E%3C%2Fsvg%3E)

*Company A created $3.9B in value above invested capital; Company B destroyed $1.3B relative to book equity.*

MVA = ($8B + $1.9B) − ($4B + $2B)
MVA = $9.9B − $6B = **+$3.9 billion**

Investors put $6 billion of capital into this company; the market values it at $9.9 billion. Management has created $3.9 billion in value above invested capital.

**Company B (value destroyer)**:
- Market capitalisation: $1.2 billion
- Book value of equity: $2.5 billion

MVA (equity) = $1.2B − $2.5B = **−$1.3 billion**

The market values this company at less than the equity book value — investors believe the company will continue to earn returns below its cost of capital, destroying value over time.

## MVA and EVA: The Connection

MVA is closely linked to **Economic Value Added (EVA)**, another value-creation metric developed by Stern Stewart & Co.:

![MVA is the present value of all future EVA streams — consistent positive EVA compounds into market value above invested capital.](data:image/svg+xml,%3Csvg%20xmlns%3D%22http%3A%2F%2Fwww.w3.org%2F2000%2Fsvg%22%20viewBox%3D%220%200%201090%20125%22%20width%3D%221090%22%20height%3D%22125%22%20role%3D%22img%22%3E%3Ctitle%3EFlow%20diagram%3C%2Ftitle%3E%3Crect%20width%3D%22100%25%22%20height%3D%22100%25%22%20fill%3D%22%23f8fafc%22%2F%3E%3Crect%20x%3D%2230%22%20y%3D%2225%22%20width%3D%22170%22%20height%3D%2275%22%20rx%3D%2210%22%20fill%3D%22white%22%20stroke%3D%22%232563eb%22%20stroke-width%3D%222%22%2F%3E%3Ctext%20x%3D%22115%22%20y%3D%2258.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3ENOPAT%3C%2Ftext%3E%3Ctext%20x%3D%22115%22%20y%3D%2278.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2211%22%20fill%3D%22%2364748b%22%3Eoperating%20profit%20after%20tax%3C%2Ftext%3E%3Cline%20x1%3D%22205%22%20y1%3D%2262.5%22%20x2%3D%22237%22%20y2%3D%2262.5%22%20stroke%3D%22%2364748b%22%20stroke-width%3D%222%22%2F%3E%3Cpolygon%20points%3D%22244%2C62.5%20235%2C57.5%20235%2C67.5%22%20fill%3D%22%2364748b%22%2F%3E%3Crect%20x%3D%22245%22%20y%3D%2225%22%20width%3D%22170%22%20height%3D%2275%22%20rx%3D%2210%22%20fill%3D%22white%22%20stroke%3D%22%232563eb%22%20stroke-width%3D%222%22%2F%3E%3Ctext%20x%3D%22330%22%20y%3D%2258.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3EMinus%20Capital%20Cost%3C%2Ftext%3E%3Ctext%20x%3D%22330%22%20y%3D%2278.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2211%22%20fill%3D%22%2364748b%22%3Ecapital%20%C3%97%20WACC%3C%2Ftext%3E%3Cline%20x1%3D%22420%22%20y1%3D%2262.5%22%20x2%3D%22452%22%20y2%3D%2262.5%22%20stroke%3D%22%2364748b%22%20stroke-width%3D%222%22%2F%3E%3Cpolygon%20points%3D%22459%2C62.5%20450%2C57.5%20450%2C67.5%22%20fill%3D%22%2364748b%22%2F%3E%3Crect%20x%3D%22460%22%20y%3D%2225%22%20width%3D%22170%22%20height%3D%2275%22%20rx%3D%2210%22%20fill%3D%22white%22%20stroke%3D%22%232563eb%22%20stroke-width%3D%222%22%2F%3E%3Ctext%20x%3D%22545%22%20y%3D%2258.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3EEVA%3C%2Ftext%3E%3Ctext%20x%3D%22545%22%20y%3D%2278.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2211%22%20fill%3D%22%2364748b%22%3Eperiod%20value%20added%3C%2Ftext%3E%3Cline%20x1%3D%22635%22%20y1%3D%2262.5%22%20x2%3D%22667%22%20y2%3D%2262.5%22%20stroke%3D%22%2364748b%22%20stroke-width%3D%222%22%2F%3E%3Cpolygon%20points%3D%22674%2C62.5%20665%2C57.5%20665%2C67.5%22%20fill%3D%22%2364748b%22%2F%3E%3Crect%20x%3D%22675%22%20y%3D%2225%22%20width%3D%22170%22%20height%3D%2275%22%20rx%3D%2210%22%20fill%3D%22white%22%20stroke%3D%22%232563eb%22%20stroke-width%3D%222%22%2F%3E%3Ctext%20x%3D%22760%22%20y%3D%2258.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3EPV%20of%20EVA%3C%2Ftext%3E%3Ctext%20x%3D%22760%22%20y%3D%2278.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2211%22%20fill%3D%22%2364748b%22%3Ediscounted%20future%20streams%3C%2Ftext%3E%3Cline%20x1%3D%22850%22%20y1%3D%2262.5%22%20x2%3D%22882%22%20y2%3D%2262.5%22%20stroke%3D%22%2364748b%22%20stroke-width%3D%222%22%2F%3E%3Cpolygon%20points%3D%22889%2C62.5%20880%2C57.5%20880%2C67.5%22%20fill%3D%22%2364748b%22%2F%3E%3Crect%20x%3D%22890%22%20y%3D%2225%22%20width%3D%22170%22%20height%3D%2275%22%20rx%3D%2210%22%20fill%3D%22white%22%20stroke%3D%22%232563eb%22%20stroke-width%3D%222%22%2F%3E%3Ctext%20x%3D%22975%22%20y%3D%2258.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3EMVA%3C%2Ftext%3E%3Ctext%20x%3D%22975%22%20y%3D%2278.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2211%22%20fill%3D%22%2364748b%22%3Ecumulative%20wealth%20created%3C%2Ftext%3E%3C%2Fsvg%3E)

*MVA is the present value of all future EVA streams — consistent positive EVA compounds into market value above invested capital.*

- **EVA** = Net Operating Profit After Tax (NOPAT) − (Capital × [Weighted Average Cost of Capital](/blog/how-to-calculate-weighted-cost-of-capital))
- **MVA** ≈ Present Value of all future expected EVA

A company that consistently generates positive EVA (earns returns above its cost of capital) builds positive MVA over time. One that consistently generates negative EVA (earns below its cost of capital) destroys MVA.

The relationship: **MVA = PV of future EVA streams**

This makes MVA the "market's scorecard" on a company's capital allocation quality over its entire history and expected future.

## MVA as a Measure of Wealth Creation

| MVA Level | Interpretation | Example Industries |
|---|---|---|
| Large positive MVA | Strong competitive moat, high returns on capital | Technology, consumer brands, pharmaceuticals |
| Small positive MVA | Modest competitive advantage | Industrials, mid-tier retailers |
| Near-zero MVA | Returns approximately equal cost of capital | Utilities, regulated industries |
| Negative MVA | Capital destruction — management should return capital to investors | Distressed companies, capital-intensive businesses in decline |

**The richest sources of MVA in the S&P 500 (approximate, 2023)**:
- Apple: ~$2.5 trillion MVA
- Microsoft: ~$2.2 trillion MVA
- Alphabet: ~$1.5 trillion MVA

These companies have created enormous MVA by generating consistent returns on invested capital well above the cost of capital — the fundamental source of long-term equity returns.

## MVA vs. Total Shareholder Return (TSR)

Both MVA and TSR measure value creation, but from different perspectives:

| Metric | Measures | Time Horizon | Limitation |
|---|---|---|---|
| MVA | Cumulative wealth created above capital invested | All-time | Depends on accurate capital figures; book value accounting distortions |
| TSR | Return to shareholders over a period (price + dividends) | Specific period | Relative to starting price; doesn't account for capital invested |

TSR is typically used for management incentive benchmarking (comparing to peers over a 3-year period). MVA is more useful for absolute assessment of value creation history.

## MVA in Practice: What Investors Use It For

**Screening for quality businesses**: Companies with consistently growing MVA have the competitive moats and capital discipline that Warren Buffett associates with great long-term investments. MVA tracks quality better than earnings growth, which can be achieved by burning capital.

*High-MVA companies earn returns well above cost of capital; negative-MVA companies earn below it, often with concentrated risk.*

**Capital allocation assessment**: Management teams that allocate capital to projects with returns above WACC grow MVA. Those who pursue acquisitions or expansions with returns below WACC destroy MVA. See our guide on [WACC](/blog/wacc-formula) for how the cost of capital benchmark is calculated.

**Executive compensation design**: Some companies use EVA (and by extension MVA) as the basis for long-term incentive plan payouts — tying management compensation to genuine value creation rather than EPS targets that can be gamed via buybacks and accounting choices.

**Value vs. growth investing**: Negative-MVA companies trade at price-to-book below 1.0 and may be "value traps" (permanently low returns) or genuine turnaround opportunities. Distinguishing between the two requires understanding whether returns can improve above cost of capital.

## Limitations of MVA

**Accounting distortions**: Book value of equity reflects historical costs and accounting choices (depreciation methods, impairment decisions, goodwill write-offs). The "capital invested" figure may not reflect actual economic capital deployed.

**Market price volatility**: MVA fluctuates with market prices, which don't always reflect fundamental value. A company can see its MVA swing billions of dollars without any change in operating performance.

**Doesn't capture risk**: A company with high MVA achieved through concentrated bets in a single product or geography may be creating value but accumulating risk that isn't visible in MVA calculations.

## Conclusion

Market Value Added provides a clean, market-based answer to the fundamental question of investing: has management created more value than the capital it consumed? Positive MVA companies are worth more than was put into them; negative MVA companies have destroyed shareholder wealth. Combined with EVA analysis, MVA gives investors a robust framework for evaluating capital allocation quality — the single most important determinant of long-term equity returns.
