---
A severability clause (also called a "savings clause") is a standard contract provision stating that if any part of the agreement is found to be unenforceable or illegal, the remainder of the contract continues in force. Without a severability clause, a court finding one provision void could, in some jurisdictions, void the entire contract — potentially destroying the commercial deal both parties intended. With a well-drafted severability clause, the contract survives with the offending provision removed or modified to the minimum extent necessary to make it enforceable. For lawyers drafting complex agreements and for parties relying on those agreements, the severability clause is a critical piece of legal protection that is worth understanding in detail.

## Standard Severability Clause Language

A typical severability clause reads:

*"If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision, and this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein."*

Some more sophisticated versions add:

*"The parties agree that the court shall have authority to modify or limit any such provision to the minimum extent necessary to make it enforceable, rather than void it in its entirety."*

This second formulation is important: it gives the court "blue pencil" authority to trim an overbroad provision rather than eliminate it entirely.

## Why Severability Clauses Are Necessary

Without a severability clause, the applicable rule in many common law jurisdictions is that void provisions "infect" the contract — the entire agreement may be unenforceable if a key term is struck down. This is particularly risky when:

*How a severability clause keeps the contract alive when one provision is struck down by a court.*

**Non-compete agreements**: Non-compete clauses are frequently challenged as overbroad — too long in duration, too wide in geographic scope, or too broad in covered activities. Courts in California, for example, refuse to enforce non-competes almost categorically. A severability clause ensures that if the non-compete is struck, the rest of the employment agreement (confidentiality, IP assignment, dispute resolution) survives.

**Consumer contracts**: Provisions that violate consumer protection laws (unconscionable arbitration clauses, illegal fee arrangements) may be invalidated. Severability protects the rest of the commercial terms.

**International contracts**: A provision valid under English law may be unenforceable under a different governing law. Severability provides protection when the contract operates across jurisdictions.

## The Blue Pencil Doctrine

Courts in many jurisdictions have the power to "blue pencil" an overbroad contract provision — literally editing the provision to reduce its scope to what is enforceable, rather than striking it entirely.

![How courts modify an overbroad provision rather than voiding it entirely under the blue pencil doctrine.](data:image/svg+xml,%3Csvg%20xmlns%3D%22http%3A%2F%2Fwww.w3.org%2F2000%2Fsvg%22%20viewBox%3D%220%200%20875%20125%22%20width%3D%22875%22%20height%3D%22125%22%20role%3D%22img%22%3E%3Ctitle%3EFlow%20diagram%3C%2Ftitle%3E%3Crect%20width%3D%22100%25%22%20height%3D%22100%25%22%20fill%3D%22%23f8fafc%22%2F%3E%3Crect%20x%3D%2230%22%20y%3D%2225%22%20width%3D%22170%22%20height%3D%2275%22%20rx%3D%2210%22%20fill%3D%22white%22%20stroke%3D%22%232563eb%22%20stroke-width%3D%222%22%2F%3E%3Ctext%20x%3D%22115%22%20y%3D%2258.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3EOverbroad%20term%3C%2Ftext%3E%3Ctext%20x%3D%22115%22%20y%3D%2278.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2211%22%20fill%3D%22%2364748b%22%3Ee.g.%205-yr%20global%20non-compete%3C%2Ftext%3E%3Cline%20x1%3D%22205%22%20y1%3D%2262.5%22%20x2%3D%22237%22%20y2%3D%2262.5%22%20stroke%3D%22%2364748b%22%20stroke-width%3D%222%22%2F%3E%3Cpolygon%20points%3D%22244%2C62.5%20235%2C57.5%20235%2C67.5%22%20fill%3D%22%2364748b%22%2F%3E%3Crect%20x%3D%22245%22%20y%3D%2225%22%20width%3D%22170%22%20height%3D%2275%22%20rx%3D%2210%22%20fill%3D%22white%22%20stroke%3D%22%232563eb%22%20stroke-width%3D%222%22%2F%3E%3Ctext%20x%3D%22330%22%20y%3D%2258.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3ECourt%20reviews%3C%2Ftext%3E%3Ctext%20x%3D%22330%22%20y%3D%2278.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2211%22%20fill%3D%22%2364748b%22%3Escope%20%26amp%3B%20duration%3C%2Ftext%3E%3Cline%20x1%3D%22420%22%20y1%3D%2262.5%22%20x2%3D%22452%22%20y2%3D%2262.5%22%20stroke%3D%22%2364748b%22%20stroke-width%3D%222%22%2F%3E%3Cpolygon%20points%3D%22459%2C62.5%20450%2C57.5%20450%2C67.5%22%20fill%3D%22%2364748b%22%2F%3E%3Crect%20x%3D%22460%22%20y%3D%2225%22%20width%3D%22170%22%20height%3D%2275%22%20rx%3D%2210%22%20fill%3D%22white%22%20stroke%3D%22%232563eb%22%20stroke-width%3D%222%22%2F%3E%3Ctext%20x%3D%22545%22%20y%3D%2258.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3EBlue%20pencil%20edit%3C%2Ftext%3E%3Ctext%20x%3D%22545%22%20y%3D%2278.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2211%22%20fill%3D%22%2364748b%22%3Ereduce%20to%20enforceable%3C%2Ftext%3E%3Cline%20x1%3D%22635%22%20y1%3D%2262.5%22%20x2%3D%22667%22%20y2%3D%2262.5%22%20stroke%3D%22%2364748b%22%20stroke-width%3D%222%22%2F%3E%3Cpolygon%20points%3D%22674%2C62.5%20665%2C57.5%20665%2C67.5%22%20fill%3D%22%2364748b%22%2F%3E%3Crect%20x%3D%22675%22%20y%3D%2225%22%20width%3D%22170%22%20height%3D%2275%22%20rx%3D%2210%22%20fill%3D%22white%22%20stroke%3D%22%232563eb%22%20stroke-width%3D%222%22%2F%3E%3Ctext%20x%3D%22760%22%20y%3D%2258.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2214%22%20font-weight%3D%22600%22%20fill%3D%22%230f172a%22%3EModified%20term%3C%2Ftext%3E%3Ctext%20x%3D%22760%22%20y%3D%2278.5%22%20text-anchor%3D%22middle%22%20font-family%3D%22system-ui%2C-apple-system%2Csans-serif%22%20font-size%3D%2211%22%20fill%3D%22%2364748b%22%3Econtract%20survives%3C%2Ftext%3E%3C%2Fsvg%3E)

*How courts modify an overbroad provision rather than voiding it entirely under the blue pencil doctrine.*

**Example**: An employment contract contains a non-compete clause restricting the employee from working in the financial services industry globally for 5 years. A court finds this overbroad. Under the blue pencil doctrine (where applicable):
- The court may reduce the geographic scope to the employer's operating region
- The court may reduce the time period to 12–18 months
- The contract, including the modified non-compete, survives

Without the blue pencil doctrine (and in jurisdictions that don't allow it), the entire non-compete would be struck — leaving the employer with no protection at all.

## Severability in Commercial Agreements: Key Scenarios

| Contract Type | Common Provision at Risk | Severability Protection |
|---|---|---|
| Employment agreement | Non-compete clause; arbitration provision | Allows rest of agreement to survive |
| Software licence / SaaS | Limitation of liability clause | Contract survives if liability cap is unenforceable |
| Loan agreement | Interest rate provision (usury laws) | Core debt obligation survives if rate is adjusted |
| M&A agreement | Specific indemnity provision | Acquisition proceeds if individual indemnity is void |
| Partnership/shareholder agreement | Drag-along rights | Remaining shareholder rights intact |

## Limits of Severability

A severability clause cannot save a contract that is fundamentally illegal or whose entire purpose is illegal — if removing the void provision leaves nothing of substance, the contract fails regardless. Courts will not sever a central term if doing so would produce an agreement no party would have entered into.

*Situations where a severability clause fails to preserve the agreement.*

**Example**: A contract for illegal gambling services cannot be saved by a severability clause — removing the illegal core (the gambling arrangement) leaves no enforceable deal.

The test most courts apply: would the parties have entered into the agreement without the stricken provision? If the answer is no, the severability clause doesn't save the contract.

## Drafting Considerations

Well-drafted severability clauses:
- Are broad enough to cover any provision being found "invalid, illegal, or unenforceable" — not just "invalid"
- Explicitly grant the court authority to modify (not just void) overbroad provisions
- Specify that the clause applies to each jurisdiction separately (important for international contracts)
- Address what happens if a "material" provision is struck — some drafters include a termination right if a core provision is invalidated, rather than forcing the parties into an unintended truncated deal

## Conclusion

The severability clause is a short but essential provision in almost every commercial contract — a backstop ensuring that a court striking down one term doesn't destroy the entire deal. It is particularly important in employment agreements (where non-competes are frequently challenged), consumer contracts (where certain provisions may violate consumer protection laws), and international agreements (where enforceability varies by jurisdiction). For anyone reviewing or drafting contracts, ensuring a well-worded severability clause is present is standard practice.
