Total Enterprise Value — TEV, or simply EV — is the most widely used measure of a company's total economic value. **TEV Formula**:

**TEV = Market Capitalisation + Total Debt − Cash and Cash Equivalents + Preferred Stock + Minority Interest**

Breaking this down:
- **Market cap**: Price per share × [shares outstanding](/blog/outstanding-stocks-definition) (what equity investors have paid)
- **+ Total debt**: The acquirer must repay this (or assume it) — it's an additional cost
- **− Cash**: An acquirer receives this upon closing — it reduces the effective purchase price
- **+ Preferred stock**: Has debt-like characteristics; must be redeemed or assumed
- **+ Minority interest**: Book value of third-party equity stakes in subsidiaries

**Example**:
- Market cap: $5,000M
- Total debt: $2,000M
- Cash: $800M

**TEV = $5,000M + $2,000M − $800M + $200M + $100M = $6,500M**

A buyer paying $5,000M for the equity is actually paying $6,500M in total economic terms — because they're also taking on $2,200M of debt and preferred obligations but receiving $800M of cash.

**Why TEV is preferred for valuation comparisons**:

Two companies may have similar market caps but radically different enterprise values if one carries heavy debt. Comparing EV/EBITDA across companies neutralises capital structure differences — making it a much fairer "apples to apples" comparison than P/E multiples.

**Step 2**: Pull total debt from the most recent balance sheet (short-term + long-term borrowings)

**Step 3**: Find cash and cash equivalents (and sometimes short-term [marketable securities](/blog/marketable-securities) — judgment call on whether to include)

**Step 4**: Check for preferred stock and minority interests (disclosed in the equity section of the balance sheet)

**Step 5**: Add and subtract accordingly

**Common pitfalls**:
- Using basic share count instead of diluted (options and warrants increase diluted share count)

## TEV in M&A and LBO Analysis

In mergers and acquisitions, deal value is almost always stated as TEV — not equity price alone. When a company is acquired for "$10 billion," that figure typically refers to TEV: the equity holders receive payment plus the acquirer assumes or repays the existing debt.

In leveraged buyout (LBO) modelling, TEV is the entry price. The LBO model tests whether the private equity firm can generate a sufficient return on the equity portion, given the TEV entry multiple, the deal's leverage, and the projected exit multiple at sale.
