The Depository Trust Company (DTC) is the central securities depository for the United States, the invisible infrastructure that makes stock and bond trading possible. Every time someone buys or sells a security on a US exchange, the DTC facilitates the settlement: confirming the [transaction](/blog/what-is-a-transactions), transferring ownership in its electronic records, and coordinating the exchange of cash between buyer and seller. Most retail investors have never heard of the DTC, but it settles approximately $2.5 quadrillion worth of securities transactions annually, making it one of the most systemically important financial institutions in the world.

## What Is the DTC?

The Depository Trust Company is a subsidiary of the **Depository Trust & Clearing Corporation (DTCC)**, along with NSCC (National Securities Clearing Corporation) and FICC (Fixed Income Clearing Corporation). Together, the DTCC subsidiaries handle clearing and settlement for essentially all US securities markets.

**DTC's core function**: Holding securities in electronic (dematerialised) form and recording transfers of ownership when securities are bought and sold. Instead of physical certificates changing hands (as was historically the case), the DTC maintains electronic records of who owns what, and updates those records when trades settle.

**"Street name" registration**: When you buy 100 shares of Apple through Fidelity, you are the beneficial owner, but the shares are registered to "DTC" (or its nominee, Cede & Co.) in DTC's books. Fidelity's DTC account is credited with 100 shares; Fidelity's internal records show you own them. This is called holding securities in "street name."

## How Securities Settlement Works

**Trade execution** (T+0): You place a buy order; your broker executes it on an exchange ([NYSE](https://www.nyse.com/), NASDAQ) against a seller's order.

*How a trade moves from execution to settled ownership through the NSCC and DTC.*

**Clearing** (T+0 to T+1): The NSCC (National Securities Clearing Corporation, also a DTCC subsidiary) receives the trade details from both sides, confirms they match (position, price, counterparty), and calculates net obligations, if you're buying 100 shares and another client of your broker is selling 100 shares of the same stock the same day, the NSCC may net these against each other.

**Settlement** (T+1 in the US as of May 2024): The DTC transfers the securities from the seller's broker's account to the buyer's broker's account, and simultaneously coordinates the cash payment in the opposite direction. This is called **delivery versus payment (DVP)**, securities are only transferred when cash is received.

| Step | Who | What Happens |
|---|---|---|
| Trade execution | Exchange / broker | Order matched; trade confirmed |
| Clearing | NSCC | Trade confirmed, obligations calculated |
| Settlement | DTC | Securities transferred; cash exchanged |
| Record update | Broker | Your account shows new position |

## T+1 Settlement: The US Standard

As of May 28, 2024, the US moved from T+2 (settling two business days after the trade) to **T+1** (one business day). This was mandated by the SEC to reduce counterparty risk, the shorter the settlement period, the less time either party is exposed to the other defaulting before the trade is complete.

*The US moved from two-day to one-day settlement in May 2024 to reduce counterparty exposure.*

**Why T+1 matters**: The 2021 GameStop/meme stock episode highlighted the strain of T+2 settlement, brokers had to post large margin requirements at the NSCC during the two-day settlement window, leading Robinhood and others to restrict purchases. T+1 reduces these margin requirements by shrinking the exposure window.

**International context**: Most European markets settled T+2 before the US moved to T+1. The US transition created cross-border challenges for trades between US and European markets that would need to be managed through securities lending and FX timing adjustments.

## Cede & Co.: The DTC's Nominee

DTC holds shares in the name of **Cede & Co.**, its nominee entity. "Cede" is the nominee name for all DTC-held securities. This is why:
- Company shareholder lists show "Cede & Co." as the largest shareholder, often holding 70%+ of [shares outstanding](/blog/outstanding-stocks-definition)
- Corporate actions (dividends, mergers, proxy votes) are processed through DTC/Cede to reach beneficial owners via their brokers

When you receive a dividend or vote your shares, the company sends the dividend or proxy materials to DTC, which passes them through to your broker, which credits your account.

## DTCC Risk Management

The DTC and NSCC manage **counterparty risk** through a multilateral netting and guarantee system:

- The NSCC becomes the counterparty to every trade (central counterparty clearing), guaranteeing settlement even if a broker fails
- Brokers post margin requirements (clearing fund deposits) proportional to their net open positions
- If a broker fails before settlement, the NSCC's guarantee and clearing fund cover the shortfall

This system means that when a US broker goes bankrupt, clients' securities held in street name at DTC are protected, the securities are segregated at DTC and not part of the broker's bankruptcy estate.

## DTC and Corporate Events

The DTC facilitates all major corporate actions:
- **Dividend payments**: Cash swept from issuer to all DTC participants (brokers), who credit individual accounts
- **Stock splits/reverse splits**: DTC adjusts share quantities in participant accounts
- **Mergers**: DTC processes securities exchanges when public companies merge
- **IPO settlement**: New shares are deposited at DTC by the underwriter at the time of an IPO

## Conclusion

The DTC is the foundational infrastructure of US financial markets, the central ledger that records who owns every publicly traded security and facilitates the daily settlement of trillions in transactions. Its near-invisible operation underpins every equity and bond transaction executed by retail and institutional investors alike. Understanding DTC mechanics, street name registration, T+1 settlement, Cede & Co. nominee structure, provides context for why securities custody works the way it does and why your broker holds your shares "on your behalf."
