---
**Consignment** is a business arrangement where a seller (the consignor) places goods with a third-party retailer or agent (the consignee) to sell on their behalf, without transferring ownership until the goods are actually sold. If the goods sell, the consignee takes a commission (typically 20%–50%) and remits the remainder to the consignor. If the goods don't sell within the agreed period, they are returned to the consignor unsold. The consignee never owns the goods, they hold them as an agent. Consignment is widely used in art galleries, used clothing stores (thrift and vintage retail), furniture, antiques, jewellery, book resellers, and new product launches where a retailer wants to test demand without buying inventory outright. Understanding consignment is important for small business owners, artists, resellers, and retailers who use this arrangement.

## How Consignment Works

**The parties**:
- **Consignor**: The owner of the goods (artist, manufacturer, individual seller)
- **Consignee**: The retailer or agent who sells on the consignor's behalf
- **Buyer**: The end customer who purchases the goods from the consignee

*Goods move from consignor to consignee for sale; payment flows back after commission, or goods are returned unsold.*

**The flow**:
1. Consignor delivers goods to the consignee with a consignment agreement
2. Consignee displays/markets the goods for a specified period (often 30–90 days)
3. **If sold**: Consignee collects payment, deducts their commission, and remits balance to consignor
4. **If not sold**: Goods are returned to the consignor at the end of the consignment period

**Ownership**: The consignor retains title (ownership) until the goods are sold to a buyer. The consignee holds the goods as a bailee until sale.

## Consignment Economics

**Typical commission splits** by sector:

*Standard 50/50 commission split between artist and gallery on a consignment sale.*

| Consignment Type | Consignor Gets | Consignee Gets |
|---|---|---|
| Clothing/apparel (high-end) | 50–60% | 40–50% |
| Clothing (standard thrift/vintage) | 40–50% | 50–60% |
| Art galleries | 50% | 50% |
| Antiques / furniture | 50–70% | 30–50% |
| Jewellery | 50–60% | 40–50% |
| Books (used) | 40–50% | 50–60% |

**Pricing example** (used clothing boutique):
- Consignor prices a jacket at $80
- Store commission: 40% ($32)
- Consignor receives: $48 when sold

## Consignment Agreement: Key Terms

A consignment agreement should specify:
- **Goods description**: Detailed list of items being consigned
- **Pricing**: Who sets prices; minimum acceptable price
- **Commission rate**: Percentage or flat fee per sale
- **Duration**: How long items remain on consignment before return
- **Payment schedule**: When the consignor is paid after items sell (e.g., weekly, monthly, upon sale)
- **Care of goods**: Who is responsible if goods are damaged, lost, or stolen
- **Insurance**: Is the consignee responsible for insurance? (Many consignment agreements make the consignee responsible)
- **Return policy**: Process for returning unsold goods; who pays return shipping

## Consignment vs. Wholesale vs. DTC

| Model | Who Owns Inventory? | Who Bears Unsold Risk? | Margin to Seller |
|---|---|---|---|
| **Consignment** | Seller (until sold) | Seller (gets it back) | Higher % but uncertain timing |
| **Wholesale** | Buyer (retailer) | Retailer (bought and paid) | Lower % but immediate payment |
| **DTC (direct-to-consumer)** | Seller | Seller | Full margin; seller manages all risk |

**Key advantage of consignment for consignors**: No inventory risk at the retailer, unsold goods return rather than being written off. Useful for new products, seasonal items, or unique items where the consignee can't predict demand.

**Key advantage of consignment for consignees**: No upfront inventory investment; only pay for what they actually sell. Cash flow-efficient for retailers.

## Consignment in Art

Art galleries predominantly operate on consignment:
- Artist retains ownership of the work
- Gallery shows the work and handles sales
- Standard split: 50% gallery / 50% artist
- Gallery period: 3–18 months depending on the show schedule

Important legal note: In many US states, **consignment laws** specifically protect artists and craftspeople, the gallery's creditors cannot seize consigned artworks even if the gallery goes bankrupt, because the artist retains title. States with such laws include California, New York, and many others.

## Accounting for Consignment

**Consignor accounting**:
- Goods shipped on consignment remain on the consignor's balance sheet as inventory
- Revenue is NOT recognised until the goods are sold to the end buyer
- Costs associated with the consignment (freight, insurance) are added to inventory cost

**Consignee accounting**:
- Goods received on consignment are NOT recorded as the consignee's inventory (they don't own them)
- The consignee records a liability for any advance payments to the consignor
- Revenue to the consignee = commission earned on each sale

## Conclusion

Consignment is an arrangement where goods are sold by an agent (consignee) on behalf of the owner (consignor), ownership transfers only upon sale, and unsold goods are returned. It benefits consignors who want retail exposure without inventory write-off risk, and consignees who want to carry product without upfront inventory investment.
